These Terms of Service ("Terms") govern your use of the Apex Phone Agent service operated by Apex Phone Agent ("we," "our," or "us"). By signing up for or using our service, you agree to these Terms.

1. Service Description

Apex Phone Agent provides an AI-powered phone receptionist service that answers inbound calls to your business, qualifies leads, books appointments on your calendar, answers frequently asked questions, and transfers calls to your team when requested. The service operates 24 hours a day, 7 days a week.

2. Account Registration

To use our service, you must create an account and provide accurate, complete information about yourself and your business. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 18 years old and have the legal authority to bind the business you are registering.

3. Pricing and Payment

Setup Fee: A one-time setup fee of $1,000 is charged at the time of account creation. This covers the configuration of your AI receptionist, phone number provisioning, calendar integration, and quality assurance testing.

Monthly Subscription: The monthly service fee is $500 per month, billed on the same date each month. The first month's payment is collected at signup along with the setup fee.

Payment Method: We accept major credit and debit cards through Stripe. You authorize us to charge your payment method for all fees associated with your account.

Price Changes: We may change our pricing with 30 days' written notice. Price changes do not apply retroactively and will take effect at the start of your next billing cycle after the notice period.

4. Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. There are no cancellation fees or penalties. The one-time setup fee is non-refundable. Monthly subscription fees are non-refundable for partial months.

6. Call Recording and Consent

All calls handled by Apex Phone Agent are recorded and transcribed. Our AI receptionist discloses recording at the beginning of each call. You are responsible for ensuring that call recording complies with applicable federal and state laws, including one-party and two-party consent requirements in the jurisdictions where your callers are located. We provide tools to configure recording disclosures, but compliance is ultimately your responsibility.

7. AI Limitations and Disclaimer

Apex Phone Agent uses artificial intelligence to handle phone calls. While our AI is designed to be accurate and helpful, it may occasionally misunderstand callers, provide incomplete information, or fail to handle complex situations. Our AI is not a substitute for professional medical, legal, or financial advice. You are responsible for reviewing call logs and ensuring the quality of interactions with your customers. We are not liable for business decisions made based on information provided by the AI.

8. Data Ownership

You retain ownership of all business information you provide to us and all call data generated through our service, including recordings, transcripts, and lead information. We are granted a limited license to use this data solely to provide and improve our services. Upon cancellation, you may request export of all your data within 30 days.

9. Service Level

We strive to maintain 99.9% uptime for our service. However, we do not guarantee uninterrupted service. Scheduled maintenance, third-party service outages (telephony, voice AI, calendar providers), and force majeure events may cause temporary service disruptions. We will notify you in advance of any planned maintenance.

10. Limitation of Liability

To the maximum extent permitted by law, Apex Phone Agent's total liability for any claims arising from your use of our service is limited to the amount you paid for the service in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost business opportunities.

11. Indemnification

You agree to indemnify and hold harmless Apex Phone Agent from any claims, damages, losses, or expenses (including attorney's fees) arising from your use of our service, your violation of these Terms, or your violation of any applicable law.

12. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 30 days before they take effect. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Dallas County, Texas.
